Rachael Girolametto-Prosen

Legal Counsel

Profile

Rachael supports the execution of a wide range of legal matters, including the review and drafting of term sheets, credit agreements, and ancillary documentation. She works closely with Cortland’s investment and origination teams, as well as external counsel, to ensure the firm’s transactions are efficiently structured, negotiated, and closed in alignment with best practices and internal policies.

Rachael joins Cortland from McMillan LLP in Toronto, where she practiced in the firm’s Banking and Financial Services group. Her experience spans commercial lending, real estate financings, project finance, acquisition finance, securitizations, and regulatory matters. With a dual background in business and law, Rachael brings a pragmatic, solutions-oriented approach to legal advisory work and is excited to contribute in a more integrated, strategic capacity as in-house counsel.

She holds an HBA from Western University’s Ivey Business School and a JD from the University of Toronto.
